The Verkhovna Rada adopted the law on factoring: AUB is among the key participants in the preparation
On June 3, 2025, the Verkhovna Rada of Ukraine partially and fully adopted Bill No. 12306 “On Amendments to Certain Laws of Ukraine on the Regulation of Factoring Services.” The document provides for a large-scale update of the legislative framework in the field of factoring and brings it closer to best international practices.
The Association of Ukrainian Banks (AUB) has been an active participant in the initiative to create a separate profile law from the very beginning. The AUB expert committee on factoring operations was involved in the work.
“The Association of Ukrainian Banks has taken an active part in the formation of legislative approaches to the regulation of factoring services – both within the framework of the working group under the established profile committee of the Verkhovna Rada, and joined the discussions within the framework of the established Committee for the Development of Documentary Operations with representatives of the participating banks. The AUB Committee has developed a number of proposals for projects, some of which have been taken into account,” recalled Andriy Koval, Deputy Chairman of the AUB Committee for the Development of Documentary Operations.
Key provisions of the law:
- introduction of state registration of assignment of the right to a monetary claim;
- definition of the subject and content of a factoring agreement;
- establishment of assignment of claims;
- distinction between trade factoring and transactions with financial debt;
- clarification of licensing requirements for companies providing services in the field of factoring and consumer lending.
The document is based on the provisions of the Model Law of the International Institute for the Unification of Private Law (UNIDRUI), which allows harmonizing Ukrainian legislation with international practice.
The adoption of this law creates the prerequisites for the development of transparent, safe and competitive factoring services in Ukraine, in particular for financing the public procurement market, the potential of which is estimated at 10–20 billion hryvnias per year.
